Transaction Completion: Online Specialty Construction Product Retailer

Beacon Advisors business brokerage is pleased to announce the completion of a transaction in the specialty construction retail industry by a private purchaser. The business, which was one of the pioneering online-based retailers in a niche construction-related area, was acquired by an owner-operator with extensive business development, engineering, and technology experience. Established in 1997, the business has built a specialized core competency, acting as a direct retailer for a number of products related to the home improvement industry across North America. Beacon acted as a sell-side adviser during the transaction, confidentially marketing the opportunity and negotiating the transaction parameters between the parties.

Transaction Summary

This was a succession-driven sale of a business that has been operating and steadily growing since its inception in 1997. The owner approached Beacon Brokerage in October of 2016 expressing their interest in finding an exit strategy. After an initial discussion on the business sale process and the necessary documentation for a successful business sale, the owner came back in January 2017, providing Beacon with all the required information on completing a thorough business valuation and all related marketing materials required for the confidential business sale process. Letter of Intent was accepted by the owner from an interested party in late March 2017 and with Due Diligence completed within the agreed-upon 30-day period, the transaction completed in May 2017 after securing acquisition bank financing from Business Development Bank of Canada.
